Terms of Service for EvoPay

1. General Provisions
These Terms of Service ("Terms") govern the relationship between EvoPay Limited Liability Partnership (BIN 240440034473), hereinafter referred to as "EvoPay", "We", "Us", and the User ("You", "Your"), arising from the use of the EvoPay payment platform and escrow service.
By using EvoPay, you confirm that you have read, understood, and agree to comply with these Terms, as well as the Privacy Policy and all applicable laws of the Republic of Kazakhstan.
2. Definitions
- EvoPay Platform — the website, mobile application, API, and related services.
- User — an individual or legal entity registered on the Platform.
- Buyer — a User purchasing goods or services through EvoPay.
- Seller — a User selling goods or services through EvoPay.
- Escrow Account — a secure account for temporarily holding funds until transaction conditions are met.
- Transaction — an agreement between a Buyer and a Seller facilitated through EvoPay.
- Dispute — disagreements between transaction parties submitted to EvoPay for resolution.
- Fee — the charge for using EvoPay services, specified when creating a transaction.
3. Registration and Identification
To use EvoPay, you must:
- Be at least 18 years old.
- Provide accurate and up-to-date information.
- Complete the identification (KYC) process if required.
- Not share your account credentials with third parties.
- Use the Platform only for lawful purposes.
We reserve the right to suspend or terminate an account in case of violation of these Terms or suspicion of fraudulent activity.
4. Description of EvoPay Services
EvoPay provides:
- A payment gateway for secure transfers.
- An escrow service to protect transactions.
- Arbitration in case of disputes.
- Customer support and consultation.
EvoPay acts as a neutral intermediary and does not participate in defining transaction terms between Users.
5. Transaction Process via Escrow
5.1. Creating a Transaction
- Parties agree on terms: price, timeline, description of goods/services, inspection period.
- Terms are recorded in the transaction details on the Platform.
5.2. Payment
- The Buyer transfers funds to the EvoPay Escrow Account.
- Funds are locked until transaction conditions are fulfilled.
5.3. Fulfillment of Obligations
- The Seller fulfills their obligations (ships goods, provides services).
- The Buyer verifies fulfillment within the agreed inspection period.
5.4. Completing the Transaction
- If the Buyer confirms fulfillment, funds (minus fees) are released to the Seller.
- If the Buyer rejects the transaction or does not respond, a dispute may be initiated.
6. Dispute Resolution
6.1. Initiating a Dispute
- A dispute may be opened within the inspection period.
- Both parties and an EvoPay administrator are notified.
6.2. Submitting Evidence
- Parties upload documents, photos, correspondence.
- All communications must take place through the Platform.
6.3. Arbitration
An EvoPay arbitrator reviews evidence and makes a binding decision. Possible outcomes:
- Full or partial payment to the Seller.
- Full or partial refund to the Buyer.
The decision is final.
6.4. Enforcing the Decision
- Funds are distributed according to the arbitrator's decision.
- All documents are retained in accordance with the laws of the Republic of Kazakhstan.
7. Fees and Payments
- Fees are displayed before transaction confirmation.
- Fees may be paid by the Buyer, Seller, or both parties.
- Additional charges (e.g., currency conversion) apply according to the tariff schedule.
- Fees are non-refundable unless required by law.
8. Prohibited Activities
You may not use EvoPay for:
- Money laundering, terrorist financing.
- Trading prohibited goods (weapons, drugs).
- Fraudulent schemes.
- Intellectual property rights infringement.
- Deception or misrepresentation.
We cooperate with law enforcement agencies in the Republic of Kazakhstan and report suspicious transactions.
9. Intellectual Property
All materials, logos, software, and design of the Platform are the property of EvoPay or its partners. Any copying or unauthorized use is prohibited.
10. Limitation of Liability
EvoPay is not liable for:
- The quality of goods or services.
- User breaches of transaction terms.
- Delays caused by banks or payment systems.
- Indirect or incidental damages.
EvoPay's maximum liability is limited to the amount of fees received from the User in the last 12 months.
11. Indemnification
You agree to indemnify EvoPay, its employees, and partners for any losses arising from your violation of these Terms.
12. Changes to the Terms
We may modify these Terms unilaterally. Changes take effect upon publication. For significant changes, we will notify Users via email or through the Platform.
13. Termination of Access
We reserve the right to suspend or terminate access to the Platform in case of violation of these Terms. Pending transactions will be resolved in accordance with Section 6.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Kazakhstan. Disputes not resolved through EvoPay arbitration shall be settled in the courts of Almaty, Kazakhstan.
15. Final Provisions
These Terms are available in Russian and Kazakh. In case of discrepancies, the Russian version shall prevail.
